PREAMBLE
We believe that an organization of fly tiers would be in the interest of fly tiers and would serve to advance the art of fly tying within the Federation of Fly Fishers (hereafter, “FFF”), for the angling community in general, and for fly tiers internationally.
ARTICLE I - NAME
This organization will be called the FLY TYING GROUP OF THE FEDERATION OF FLY FISHERS. The governing committee shall be called the FLY TYING BOARD OF GOVERNORS OF THE FEDERATION OF FLY FISHERS. These will be referred to in the Bylaws as the FTG and the FTBOG, respectively.
ARTICLE II - PURPOSE

ARTICLE III - MEMBERSHIP
Section 1: Membership
Membership will be open to all members of the FFF; or, for international tiers, all tiers who are members of their national or fly tying organizations, if such exists, or if not, who are members of their national fly fishing organization.
Section 2: FTBOG
There will be 21 members on the FTBOG. An effort will be made to make the FTBOG representative of all Councils, but there will not be any mandatory representation. A member may be elected to represent international fly tiers.
Section 3: Election to the FTBOG
A nominating committee will be appointed by the FTBOG. Members of the FTG may also serve on the nominating committee. Members of the FTBOG in good standing who are retiring are particularly invited to be part of the committee. The committee will receive nominations from any Council President, member of the FTBOG, or from any FTG member. Nominees will be evaluated by the committee for suitability to serve on the FTBOG, ie, ability and willingness to perform the work of the FTBOG. An effort will be made to make the FTBOG representative of all Councils, but there will not be any mandatory representation. The committee will propose a slate of nominees to the full membership, which will vote on the slate. Write-in candidates will be accepted. No person running for election can serve on the nominating committee.
Section 4: Term of membership
Membership in the FTBOG shall be for a three-year term. There shall be no limit on the number of terms any Governor may serve. Within 3 months of completion of a term, members shall write to the Nominating Committee to express their intent to either serve another term or retire from the board. Members wishing to serve another term shall inform the Nominating Committee of the contribution they intend to make during their next term.
Section 5: Removal of Governors
Any Governor may be removed at any time by the affirmative vote of the majority of the members of the FTBOG.
Section 6: Officers of the Board
The FTBOG will elect the Chair, Vice-Chair, and Secretary at the Annual Meeting. It shall be the duty of the Chair to conduct the business of the Board. It shall be the duty of the Vice-Chair to assist the Chair, and to stand in his/her stead when the Chair cannot be present. It shall be the duty of the Secretary to record all business of the annual meeting and any special meetings, and provide a written report to the Chairman. It shall be the duty of the Treasurer to work with the FFF bookkeeper to keep track of the finances of the group.
Section 7: Place of Meetings
The Annual Meeting shall take place at the National Conclave, unless the FTBOG shall decide that another time and location is preferable.
Section 8: Informal Procedure
The FTBOG and Executive Committee may act by email, mail, telephone or other method as requested by the Chairman of the Board to transact its business. Participation in a meeting pursuant to this Section constitutes presence in person at the meeting, and decisions which are made are equally valid.
Section 9: Executive Committee
The Executive Committee shall consist of the Chairman of the Board, the Secretary and six members of the FTBOG. The Chairman and the Secretary shall be members of the Executive Committee for the duration of their respective terms as Chairman and Secretary. Each of the six members shall serve a term of three years; two are to be selected by the Chairman at each annual meeting subject to approval by a majority of the members present.
The Executive Committee shall be empowered to act on behalf of the FTBOG between meetings of the FTBOG. Actions of the Executive Committee are subject to approval of the FTBOG as a whole.
Section 10: Quorum and Manner of Acting
A quorum of the FTBOG will consist of one-third of the members. The act of the majority of Governors present at meetings at which a quorum is present will be the act of the FTBOG. In the absence of a quorum, a majority of the members present may adjourn the meeting until a quorum can be achieved.
Section 11: Notice of Meeting
All members of the FTBOG are expected to be cognizant of the fact that the annual meeting will occur at the annual National Conclave wherever it may be held. Therefore, specific notice of the annual meeting shall not be required.
Notice of special meetings of the FTBOG and Executive Committee shall be given personally, by e-mail or first class mail. The notice shall be given not less than 10 days before the meeting unless notice is waived by that member.
ARTICLE IV - RESIGNATION
Any member of the FTBOG including the Chair may resign at any time by giving written or email notice of resignation to the Chair or the Secretary of the FTBOG, or to the entire Board. Such resignation shall take effect at the time specified or, if no time is specified, at the time of receipt. Replacement members can be nominated by any member of the FTBOG and must be approved by a vote of the FTBOG.
ARTICLE V - AMENDMENTS
These Bylaws may be amended at any Annual Meeting of the FTBOG. The affirmative vote of two-thirds (2/3) of the entire FTBOG shall be required for the adoption of any amendment. Notice of the meeting and proposed amendment, together with the text of the proposed amendment, shall be delivered to the FTBOG no less than sixty days before the date of the meeting. Vote by proxy will be accepted. The amendment will then be presented to the Federation Board for approval and will go into effect upon approval.
ARTICLE VI - TITLE OF SPECIAL RECOGNITION
A title of special recognition may be bestowed upon certain individuals who are not members of the FTBOG but have shown exceptional ability in tying, innovative procedures, teaching, inventions, engineering, improvements, writing or developments of any sort in the field of fly tying.
ARTICLE VII - RULES OF ORDER
Meetings of the FTBOG will function under “Robert’s Rules of Order, Newly Revised” except as specified by these bylaws.
ARTICLE VIII - CONFLICT OF AUTHORITY
Any conflict between these bylaws and a Federation instrument will be decided in favor of the FFF instrument.
ARTICLE IX - APPROVAL OF BYLAWS
These bylaws shall become binding and effective when they are duly accepted by the FTBOG and approved by the Board of Directors of the Federation of Fly Fishers, Inc.
